These Terms of Use (“Terms”) govern your use of the website of Oak Hill Funding LLC (“Oak Hill Funding,” “we,” “us,” or “our”) (the “Site”). By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

About our services

Oak Hill Funding is a broker. We connect businesses seeking invoice factoring with third-party funding companies (“funding partners”). We are not a lender, a bank, or a factoring company, and we do not provide financing directly. All financing decisions — including whether to extend financing and on what rates and terms — are made solely by the funding partner. Nothing on this Site is an offer of financing, a commitment to provide financing, or a guarantee that you will qualify for or receive financing. We may receive compensation from funding partners in connection with referrals; see our Disclosures page.

No professional advice

The content on this Site is provided for general informational purposes only. It is not financial, legal, tax, or accounting advice, and you should not rely on it as such. You should consult your own advisors before making financial decisions for your business.

Eligibility and your submissions

The Site and our services are intended for business use by individuals who are at least 18 years old and authorized to act on behalf of the business they represent. When you submit information through the Site, including through the Fit Check, you represent that the information is accurate and complete to the best of your knowledge, and you agree that we may share it with our funding partners and otherwise use it as described in our Privacy Policy.

Third-party websites and services

The Site links to third-party websites, including the websites and application pages of our funding partners. Those websites are governed by their own terms and privacy policies, which we encourage you to review. We do not control and are not responsible for third-party websites, or for the products, services, or financing offered by any funding partner.

Intellectual property

The Site and its content — including text, graphics, logos, and design — are owned by Oak Hill Funding or its licensors and are protected by applicable intellectual property laws. You may view and print pages from the Site for your own business evaluation purposes, but you may not otherwise copy, reproduce, modify, distribute, or create derivative works from the Site without our prior written permission.

Acceptable use

You agree not to use the Site in any way that violates applicable law; to submit information that is false, misleading, or that you are not authorized to provide; to interfere with the operation or security of the Site; or to use automated means to access or scrape the Site without our permission.

Disclaimer of warranties

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OAK HILL FUNDING AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY FINANCING OBTAINED OR NOT OBTAINED FROM A FUNDING PARTNER. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify and hold harmless Oak Hill Funding and its owners, officers, employees, and agents from any claims, damages, and expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms or your misuse of the Site.

Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in New Jersey, and you consent to the jurisdiction of those courts.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. Your continued use of the Site after an update means you accept the revised Terms.
